Covetrus Photo Release Terms and Conditions

1. Grant of Rights. I grant Covetrus, Inc. and its #GotMyShots program affiliates (“Covetrus”) permission to use photos taken or shared in this program (collectively “Photos”) of my likeness, and/or my pet’s likeness in their own media, including websites, publications, social media, promotional information, advertising, marketing, training materials, or other forms of communication.
2. No Consideration. I understand and acknowledge that my participation in any photos, videos, voice recordings, or other recording is voluntary, and that I voluntarily agree to participate in such activities, including in the routine course of my employment, agency, or collaboration with Covetrus, without additional compensation or payment to me.
3. Rights to Photos. I understand and agree that all Photos and any derivative works are exclusive property of Covetrus and that I will have no rights to such Photos, except for personal, non-commercial use.  I understand and agree that Covetrus may use, license, transfer, or otherwise allow others to use such Photos for any reason, as directed by Covetrus.
4. Publication. I understand and agree that Photos may be placed on the internet, television, radio, print media, digital media, or otherwise published or distributed by Covetrus without restriction.
5. Identification.  I understand and agree that I may be personally identified, and my veterinary practice may be identified in Photos by name and title in printed, video, digital, or other communications, and that I waive the right to approve any such use in advance.
6. Release.   I release, acquit, and forever discharge Covetrus, its agents, officers, and employees from any and all claims, demands, rights, promises, liabilities, and damages arising out of or in connection with the publishing or distribution of such Photos, including, but not limited to, claims associated with invasion of privacy, defamation, or appropriation of my likeness or the likeness of my veterinary practice.
7. Governing Law.  This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its choice of law provisions.
8. Entire Agreement; Amendment.  This Agreement supersedes all prior agreements, written or oral, between the parties relating to the subject matter of this release.  This release may not be modified, changed, or discharged in whole or in part, except by an agreement in writing signed by both parties.
9. Counterparts.  This Agreement may be executed in two original or electronic counterparts, each of which is an original and all of which together will constitute the same instrument.
10. Acknowledgement.  I acknowledge that I have read and understand this Release.  I affirm that I am at least eighteen (18) years of age and have the right to enter into this agreement.
